[Payment/Monies]
A nonrefundable 25% deposit is required upon agreement and to place you on the wait list if one exists. 50% of total project cost is due to start the project, and the remaining balance is due upon acceptance of the design/layout, generally, after the main page is done, or approximately half way through project. All monies are due on time and shall not interfere with the project start or complete date. All monies are nonrefundable. 

[Cancellation] There are no refunds for client cancellation, client scheduling conflicts, client unavailability causing interference with the ability to develop the website on time or as scheduled, or financial reasons. It is assumed when you enter into this agreement finances are in order and ready to go at the time intervals outlined. Inability to carry through with the project per the terms of this agreement and the process warrants cancellation of your project without refund. There are no exceptions to this policy.

[Communication/Availability/Teaching]
Once the project is started, you must be available via email, fully able to answer questions, and complete tasks at a minimum of daily. You understand the more available you are during the critical input period, the first week, the more input in the design process you have. You understand almost all of our communication is via email and not the phone. Teaching will be scheduled immediately following (within one week) completion of website.  You have 45 days from date of teaching to prepare your site for launch. The first two weeks after teaching is the time interval most of your questions should be asked and testing completed.

[Ownership, Credit, and Usage]
Web art, web graphics, web illustrations are intended to be kept whole as given to you and installed by cgonsa. This means revisions, alterations, editing, recreating the design concept, derivatives, unusual distortion and resizing, copying, or cropping of the art for buttons, logos, navigation, banners, all other web graphics and print art, and use of art for any other purpose than it was intended shall not be done without written permission.  Cgonsa art may not be used in the development of another website or domain name without express written permission. Client use of art is non-transferable.
 
Ownership of the art and copyright is retained by Cathy Gonsalves and all rights under law are reserved. Client must contact cgonsa for any use of art outside original agreement or cgonsa installation for written permission, and price quote on additional usage. Client is granted non-transferable exclusive usage license/rights of use per the terms and compliance of agreement.  License may be revoked at any time for noncompliance. License is void if and when the live site no longer exists, visible on the www, or is no longer operational or live for viewing by the www.
 

Unless other arrangements are made, a small copyright or credit link to Cgonsa web design must be placed on the bottom of each page of your site, and will look similar to this, © 2008 web design: Cgonsa. The link shall stay intact unless otherwise permitted, or there has been a request to remove it by Cgonsa. Cgonsa retains the right to discreetly sign any graphic made and this shall remain intact.

All concepts, comprehensives, or other preliminary materials, which are not selected by the Client or are not included into the final delivery, remain the full property of Cgonsa.com. All original concepts, art, and drawings remain the property of Cathy Gonsalves, Cgonsa.com. Cgonsa.com retains the right to display artwork in portfolio and advertising materials. Email communication from client appropriate as testimonial verbage may be posted on cgonsa.com.

[Files for print]
Files purchased for print may only be used for your stationery print needs, business cards, letterhead, hangtags, envelopes, postcards, promo cards, and mailing labels.  Files may not be used for any other medium unless additional permission is granted.  Files unless permission granted, may not be used for additional web graphics of any kind.  Art Files unless written permission is granted, may not be used for video, cd covers, books, posters, t-shirts, mugs, product items or labels, products for resale, retail billboards or signage, or tv production. Print files are non-transferable, for your sole use, and may not be sold or given away. Cgonsa uses a downloadable template from the print vendor ensuring document dimensions are accurate. Files are created using print ready high-resolution format. Conversion from web rbg to cmyk is done. Colors are not guaranteed and may differ from your computer monitor. Cathy Gonsalves retains ownership and copyright of art.

[ E-commerce]
-Merchant Account-
Cgonsa will inform client of the merchant accounts compatible with clients shopping cart. Client is responsible for securing a compatible merchant account or third party payment processor for the shopping cart. Cgonsa does not guarantee their service. It is client’s responsibility to know their merchant account and how to operate the virtual terminal. If you have questions regarding your merchant account generally you should be using the merchant account customer service.
-Database Population and Content-
Unless other arrangements have been made, client is responsible for adding individual items to their shopping cart or catalog. This includes the product description, photographs and preparation of the images. Client is responsible to supply the literary content for all pages. Client is responsible for data entry of keywords and meta-descriptions in the product catalog.

[Your Shopping Catalog License and Security]
One license key for the shopping catalog is issued to your domain and may not be transferred.  A software license must be purchased for each site on which the software is installed. You understand any questions related to your catalog must come through Cgonsa.com, Cathy Gonsalves, and never the copyright owner of the shopping catalog.

It is prohibited to use the software in the sale or promotion of illegal merchandise or to display content that are religiously or racially offensive or inflammatory or anything else that would considered illegal by the laws governing the citizens of the United States and the states of Massachusetts.

-Security-
No guarantees of security can be made regarding the administration area of the software system. All administration areas must be uploaded to a secure server for complete security. The password protection system included with the software is no guarantee of security. No private information should be added to an unsecure server that holds the software system.

[ Host and third party affiliates]
Host and third party affiliates must be compatible with the requirements of the site Cgonsa designs, and be one Cgonsa is familiar with for ease of use. Cgonsa will provide hosting option/s. All costs associated with the host, third party affiliates, and the domain is client's responsibility. Hosts and third party affiliates are in clients name not Cgonsa. Cgonsa does not guarantee the service of the host or third party affiliates.

[Other]
Client understands shopping catalog technology changes rapidly and features outlined may be enhanced, updated, or different at time website is started.
